1. Acceptance of Terms

By accessing and using Rebill ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These terms apply to all users of the Service, including both free and premium subscribers. By creating an account, sending an invoice, or otherwise using any part of Rebill, you confirm that you have read, understood, and agree to these terms. If you're using Rebill on behalf of a business or organization, you represent that you have the authority to bind that entity to these terms.

2. Description of Service

Rebill is a web-based invoicing platform designed specifically for South African businesses. We provide tools to help freelancers, consultants, and small businesses create professional invoices, manage clients, accept payments, and track their business finances — all with South African tax compliance in mind.

Our service includes:

  • Professional invoice creation and management with customizable templates
  • Quote and estimate creation with one-click conversion to invoices
  • Client and contact management with full history tracking
  • Payment processing integration with Paystack, Yoco, and PayFast
  • WhatsApp invoice delivery for improved payment collection
  • VAT compliance tools for South African businesses (15% calculation, VAT number display)
  • Recurring invoice automation for subscription-based businesses
  • Customizable payment reminders to reduce late payments
  • Business analytics and reporting including revenue, aging, and client reports
  • ZAR currency support and South African locale formatting
  • Multi-user team accounts with role-based access

The specific features available to you depend on your subscription plan. Feature availability and limitations are clearly displayed on our pricing page and within the application.

3. User Accounts and Registration

To access the Service, you must register for an account using a valid email address. Your account gives you access to Rebill's features based on your subscription plan. Account security is a shared responsibility — we implement strong security measures on our end, and we ask you to do the same.

When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your registration information up to date, especially your email address
  • Maintain the security of your password and not share it with others
  • Use a strong, unique password that you don't use for other services
  • Notify us immediately at security@rebill.co.za of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account
  • Log out from shared or public computers when you're done using Rebill

You may invite team members to your account if you're on a plan that supports multiple users. You remain responsible for their activities within your account and for ensuring they comply with these terms.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any local, state, national, or international law or regulation
  • Create fraudulent or misleading invoices
  • Infringe on intellectual property rights of others
  • Transmit spam, viruses, or other malicious code
  • Attempt to gain unauthorized access to our systems
  • Use the Service for any illegal business activities

5. South African Compliance

Rebill is designed to help South African businesses comply with local invoicing requirements, but we are a software tool — not a tax advisor or accountant. We provide VAT calculation tools, proper formatting, and compliant invoice templates, but the ultimate responsibility for tax compliance rests with you.

While Rebill provides tools to help, you remain responsible for:

  • Ensuring your invoices comply with South African tax laws and SARS requirements
  • Registering for VAT with SARS if your turnover exceeds the threshold (currently R1 million)
  • Maintaining proper VAT registration and displaying accurate VAT numbers
  • Filing accurate tax returns with SARS on time
  • Keeping proper business records as required by law (typically 5 years)
  • Issuing invoices that meet the requirements of the Tax Administration Act
  • Consulting with a qualified accountant or tax professional for specific advice

Rebill's VAT features are configured for the standard 15% South African VAT rate. If your business has special VAT circumstances (zero-rated supplies, exempt supplies, etc.), you should verify that our tools meet your specific needs.

6. Payment Terms

Rebill offers both free and premium subscription plans. The free plan allows you to use basic invoicing features with usage limits, while premium plans unlock additional features and remove limits. Our pricing page always shows the current fees for each plan.

Key payment terms:

  • Subscription fees are clearly displayed before any payment is processed
  • All fees are charged in South African Rand (ZAR)
  • Premium subscriptions are billed monthly and renew automatically
  • We'll notify you before processing renewal payments
  • Refunds are handled according to our Refund Policy
  • You can cancel your subscription at any time from your account settings
  • After cancellation, you retain access until the end of your current billing period
  • WhatsApp credits are purchased separately and never expire

Payment provider fees (charged by Paystack, Yoco, or PayFast when your clients pay invoices) are separate from Rebill subscription fees. These fees are charged directly by the payment provider according to their terms and are not collected or controlled by Rebill.

7. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We encourage you to read the Privacy Policy carefully.

In summary, we collect information necessary to provide the Service (your account details, invoice data, client information you enter), and we use strong encryption to protect sensitive data. 8. Intellectual Property

The Service and its original content, features, and functionality are owned by Rebill (Tora Technologies) and are protected by South African and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of all content you create using Rebill, including your invoices, client data, and business information. By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you. We don't use your invoices or client data for any other purpose.

The Rebill name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Tora Technologies. You may not use these marks without our prior written permission.

9. Limitation of Liability

To the fullest extent permitted by South African law, Rebill shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

This includes, but is not limited to: errors in invoices you send, late payments from your clients, payment processing failures by third-party providers, business decisions you make based on Rebill data, or any interruption of service. Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

Nothing in these terms excludes or limits our liability for fraud, gross negligence, or any other liability that cannot be excluded by South African law.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms of Service. Examples of violations that may result in termination include: using Rebill for fraudulent invoicing, violating payment provider terms, abusing our systems, or engaging in any illegal activities.

You may terminate your account at any time by canceling your subscription and contacting us to close your account. Upon termination, we'll retain your data for 90 days to allow you to export it, after which it will be deleted according to our data retention policies.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law provisions. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Western Cape, South Africa.

If any provision of these terms is found to be unenforceable or invalid by a court, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12. Changes to Terms

We reserve the right to modify these terms at any time as our service evolves. When we make changes, we'll update the "Last updated" date at the top of this page. For significant changes that affect your rights or obligations, we'll provide notice via email or through a prominent notice in the Service at least 30 days before the changes take effect.

Your continued use of Rebill after changes become effective constitutes acceptance of the new terms. If you don't agree to the modified terms, you should stop using the Service and cancel your subscription. We encourage you to review these terms periodically to stay informed about any updates.
